OFFICE LEASE AGREEMENT No. 15-09-25 Almaty City September 16, 2025 Real Estate Foundation LLP, acting under a state registration certificate, hereinafter referred to as the "Lessor," represented by Aziz Belyalovich Validov, on the one hand, and Limited Liability Partnership "_____________________" , hereinafter referred to as the "Tenant," represented by __________________________________, acting under the charter, on the other hand, have entered into this Agreement as follows.
1. General Terms
1. The Lessor undertakes to provide office space for temporary, compensated use to the Tenant and to provide the Tenant with free access to the said office space (hereinafter referred to as the office space).
2. The office space, with a total area of 10 square meters, is owned by the Lessee under a sublease agreement dated September 16, 2025. The office space is located at the following address: KAZAKHSTAN, ALMATY, _______________. The office space is provided to the Tenant for office use.
3. The lease term is 11 months, from __________ to ______________ inclusive, with the right to extend.
2. Payment Procedure and Terms
2.1. The monthly rent is 6,000 tenge per 1 (one) m2.
2.1.1. The Tenant shall pay the first month's rent within 5 (five) banking days after this Agreement is signed by both Parties and the Landlord issues the corresponding invoice.
2.1.2. The cost of water, solid waste removal, security, and electricity is not included in the rent and is paid by the Tenant separately based on re-issued invoices from the Landlord.
2.2. Payment is made monthly by bank transfer or in cash, based on the Lessor's invoices.
2.3. Payment is due on the 1st of the corresponding month. A delay of more than 10 (ten) business days constitutes a unilateral termination of the agreement by the Lessee, and the agreement is considered terminated. Payments are automatically made out of court (Article 545 of the Civil Code of the Republic of Kazakhstan). In the event of the Lessee's failure to pay for the land plot and other damages on time, the Lessor has the right to withhold the property and security deposit of the Lessee occupied by the premises until the relevant obligation is fulfilled (Article 338-1 of the Civil Code of the Republic of Kazakhstan). The Lessor's claims are satisfied from the value of the property in accordance with Article 338-2 of the Civil Code of the Republic of Kazakhstan.
2.4. The Landlord reserves the right to increase the rent no more than twice a year by indexing it to account for inflation, as well as in the event of changes in centrally established prices and tariffs for work and services.
3. Obligations of the Parties
3.1. The Landlord undertakes to: 3.1.1. Deliver the office premises in a condition that ensures their normal use in accordance with their intended purpose. 3.1.2. The Landlord undertakes to maintain the office premises in good condition. 3.1.3. The Landlord undertakes to notify the Tenant of the termination of the Agreement at least 15 (fifteen) business days in advance.
3.2. The Tenant undertakes to:
3.2.1. Use the office premises in accordance with their intended purpose. 3.2.2. The Tenant is responsible for cleaning the Leased Office Premises. Obtaining the required permits required by law is necessary for the Tenant to carry out its activities (environmental, sanitary, urban planning, etc.). Bear responsibility for the absence of these permits. 3.2.4. The Tenant undertakes to maintain information signs, memorial plaques, etc. located on the facades in a clean and proper condition. 3.2.5. The Tenant is responsible for the removal and disposal of waste. 3.2.6. Upon termination of the agreement, transfer the warehouse premises to the Landlord in a condition consistent with the Acceptance Certificate. 3.2.11. Pay a security deposit for the Rent in the amount of 90,000 rubles in cash at the Lessor's cash desk or by bank transfer to the Lessor's bank account.
3.2.12 Request a refund of the security deposit if paragraphs 3.1.3 and 2.3 have not been violated.
3.2.13 The Lessee undertakes to notify the Lessee of the termination of the Agreement at least 15 (fifteen) business days in advance.
3.3. Lessor's Rights: 3.3.1. The Lessor has the right to freely (during the Lessee's working hours) visit the Lessee's leased container for the purpose of implementing control functions; 3.3.2. The Lessor has the right to retain the Lessee's property located in the warehouse premises as security for the Lessee's obligation to pay rent for the premises or to reimburse the Lessor's expenses and other losses until the relevant obligation is fulfilled (Article 338-1 of the Civil Code of the Republic of Kazakhstan). In this case, the Lessor has the right to sell the Lessee's property to pay off the debt.
3.4. Rights of the Lessee: 3.4.1. The Lessee has the right to make improvements to the office premises with the written or oral consent of the Lessor, and the cost of inseparable improvements (previously agreed upon)
